1. Definitions and Interpretations

"Alkaid AI" or "Company" refers to the operator of the Alkaid AI service and chat platform (chat.alkaidiq.com).

"Astronomer" means any individual user who creates an account and accesses the Service.

"Service" means the Alkaid AI chat application, including all features, models, and functionalities provided on the chat.alkaidiq.com domain.

"Content" means all messages, text, data, information, and materials submitted by Astronomers or generated by the AI models.

"AI Models" refers to the large language models accessible via the Service, including GPT-4o, Claude, Gemini, Llama, Mistral, DeepSeek, Cohere, Grok, Perplexity, Qwen, and Alkaid's proprietary model, Orb.

2. Service Description and Acceptance

Alkaid AI provides a multi-model AI chat application that enables Astronomers to interact with various artificial intelligence models for conversational purposes. The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety. If you do not agree to these terms, do not use the Service.

3. Eligibility and Account Terms

To use the Service, you must:

• Be at least 18 years of age (or the legal age of majority in your jurisdiction, whichever is higher)
• Possess the authority to enter into these Terms
• Provide accurate, complete, and truthful information during account creation
• Maintain the security of your account credentials

You are solely responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify Alkaid immediately of any unauthorized use of your account.

4. Acceptable Use Policy

Astronomers agree not to use the Service for:

• Illegal activities or violation of any applicable laws or regulations
• Creating weapons, explosives, or instructions for harm
• Child sexual abuse material (CSAM) or child exploitation
• Harassment, bullying, threats, or abusive conduct toward individuals or groups
• Fraud, deception, or impersonation
• Malware creation or distribution
• Spam, phishing, or social engineering
• Unauthorized scraping or data harvesting
• Training competing AI models without explicit written consent
• Attempting to circumvent or "jailbreak" safety mechanisms

Alkaid reserves the right to suspend or terminate accounts that violate these policies and to comply with law enforcement requests.

5. Intellectual Property Rights

User-Generated Content: You retain ownership of any original content you submit to the Service. By submitting content, you grant Alkaid a worldwide, royalty-free license to use that content for providing and improving the Service, including training future versions of the Orb model, unless you have opted out of data training as described in the Privacy Policy.

Generated Content: Content generated by the AI Models is owned by you and licensed for your use. You are solely responsible for the accuracy, legality, and appropriateness of all generated content.

Alkaid Intellectual Property: The Service, all AI Models, interfaces, software, and proprietary technology remain the exclusive property of Alkaid AI and its licensors. You receive only a limited, non-exclusive license to use the Service for personal purposes.

6. Disclaimers and Limitations of Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Alkaid does not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated content will be accurate, complete, or reliable
• Defects in the Service will be corrected
• The Service will meet any specific requirements or expectations

AI Models are experimental technology and may produce inaccurate, harmful, or unexpected outputs. Users must independently verify all information and are solely responsible for decisions made based on AI-generated content.

7. Training Data Disclosure

CRITICAL NOTICE: All chat text submitted to the Service (excluding images and videos) is logged and will be used to train and improve Alkaid's proprietary AI model, Orb, and related systems. This includes your conversations, questions, responses, and user inputs.

You acknowledge and agree that your chat text may be used to train future AI models operated by Alkaid AI. If you do not wish your data to be used for training purposes, you must opt out through your account settings. Opting out may limit your access to certain Service features.

8. Limitation of Liability

ALKAID AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ALKAID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ALKAID AI'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED $100 (USD) OR THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE LAST 12 MONTHS, WHICHEVER IS GREATER.

Alkaid explicitly disclaims liability for:

• Any content generated by the AI Models
• Errors or omissions in generated content
• Your reliance on generated content
• Unauthorized access to your account
• Service interruptions or data loss
• Third-party actions or content

9. Indemnification

You agree to indemnify, defend, and hold harmless Alkaid AI, its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws
• Your submission of content to the Service
• Your infringement of third-party intellectual property rights

10. User Responsibility and Compliance

As an Astronomer, you are solely responsible for ensuring that your use of the Service complies with all applicable federal, state, local, and international laws and regulations. This includes but is not limited to:

• Laws governing export controls and sanctions
• Privacy and data protection regulations
• Intellectual property laws
• Content regulations and standards
• Professional or industry-specific regulations

Alkaid AI shall not be liable for any consequences resulting from your violation of applicable laws.

11. Termination and Suspension

Alkaid reserves the right to suspend or terminate your account and access to the Service, with or without notice, if you violate these Terms, engage in prohibited conduct, or if required by law. Upon termination, your right to use the Service immediately ceases.

Termination does not relieve you of your obligations under these Terms, including indemnification and liability limitations.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware.

13. Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve disputes through informal negotiation. If negotiation fails, you agree to binding arbitration under the rules of the American Arbitration Association (AAA), with the arbitration to be conducted in Delaware.

14. Modifications to Terms

Alkaid reserves the right to modify these Terms at any time. Modifications become effective upon posting to the Service. Your continued use of the Service following such modifications constitutes your acceptance of the updated Terms. We recommend reviewing these Terms periodically for changes.
